TERMS:

  1. The Artist Workshop is co-produced by Brave New World Enterprises LLC (BNWE) and The Shyan Selah Foundation (SSF) – a 501(c)(3) tax exempt non-profit organization.

  1. Payment: All Sponsorship payments for The Artist Workshop will be accepted by Brave New World Enterprises LLC. Donations towards the Artist Workshop may be accepted by The Shyan Selah Foundation.

  • For the purposes of finalizing sponsorship transactions via http://www.theartistworkshop.org accepted payments include MasterCard, Visa, Discover, and American Express. The total amount reflected for payment will include a 2.9% + $0.30 processing fee via all Debit/Credit Card* payment. 
  • In-person payments are accepted and acceptable forms of payment may include: Corporate Check, Cashiers Check, or Money Order. Please make payments out to Brave New World c/o the Artist Workshop and mail to 1815 SW Campus Dr. #27238 Federal Way, WA 98093.

  1. Sponsorship: To be a sponsor a signed agreement and 100% of the sponsorship fee is required.

  1. Licenses, Insurance, Permits: Sponsors are fully responsible for obtaining all licenses, insurance or permits required and adhering to all applicable laws, ordinances, and statues. Permits may include, but are not limited to: a sales tax permit, as well as health permits for any selling, displaying or sampling food.

  1. Limitation on Liability: Sponsor expressly releases The Artist Workshop, BNWE, and SSF from any liability and waives a) any and all demands, claims, and causes of action in law or in equity, related to any defect, deficiency, failure or impairment of utilities or other facilities, including water, heating, electricity, ventilation, refrigeration, or other mechanical systems failure; b) the conduct, negligence or claims of any sponsor or attendee; and c) any fire, flood, strike, terrorist attack, weather or other, force majeure beyond the control of said entities.

  1. Force Majeure: If any The Artist Workshop event is in any way delayed or if BNWE or SSF are prevented from performing any of its obligations under this Agreement due to fire, act of God, governmental act or failure to act, strike, labor dispute, inability to procure materials or any other cause beyond either entity’s reasonable control (whether similar or dissimilar to the foregoing events), then the performance of this Agreement is excused. In such a case Sponsor may receive a refund (minus any incurred expenses) at the sole discretion of BNWE. For more information please see Cancellation and Refund Policy.

  1. No Guarantee of Results: BNWE does not warrant or guarantee any particular results of the event(s), nor does it guarantee a particular number of customers or attendees.

  1. Indemnification: BNWE and SSF do not assume any responsibility for loss or damage to Sponsor’s property. BNWE will not be held accountable for the death or injury of any person attending an event, or for any damages suffered by Sponsor or its officers, agents, employees, or invitees as a result of any cause whatsoever. As such, Sponsor expressly releases BNWE and SSF and hereby hold harmless and forever discharges BNWE and SSF, their agents, employees, officers, directors, owners, affiliates, successors in law or in equity, their parent, subsidiaries, affiliates, sponsors, and their respective officers, directors, agents and employees of any claim that Sponsor ever had or may have, arising from or in any way related to Sponsor’s participation in The Artist Workshop with the exception of acts of gross negligence, or intentional, willful or wanton misconduct. These provisions will continue in full force and effect even after the termination of the activities conducted by, on the premises of, or for the benefit of The Artist Workshop, whether by agreement, by operation of law, or otherwise.

  1. Cancellation and Refund Policy: All transactions are final and non-refundable with the following exception:

  • The Artist Workshop reserves the right to cancel or reschedule an event at any time.Should a particularly sponsored event be cancelled  prior to the date of the event without a new date scheduled, then a refund of all amounts paid by Sponsors to BNWE in connection with this Agreement shall be issued. If such an event has been successfully rescheduled, then said sponsorship will apply and no refund will be issued.

  1. Product/Service Exclusivity: Unless otherwise agreed to in writing, Product/Service exclusivity is not guaranteed through this sponsorship, and this also includes brand and franchise exclusivity.

  1. Authority: BNWE and SSF reserve the right, upon reasonable notice to the Sponsor, to substitute alternate dates and/or facilities other than those originally planned for a particular event(s).

  1. Sponsor, hereby grants BNWE permission to use Sponsors’ name and/or logos for promotional purposes in connection with the Event(s). This permission shall extend to photographs and video taken at the event.

  1. LOGO and BRANDING PLACEMENTS: Once your sponsorship submission has been accepted, a representative will contact you to arrange to receive a high-resolution (300 or higher) .png and or/.jpg format of your brand logo as well as a a 1130 x 110 website advertisement banner in .jpg format. If you do not have an advertisement created, BNWE can create for an additional design fee. Online web advertisements will be displayed for a minimum period of 1 month (30 days). 

  1. Complete Agreement: This agreement represents the entire agreement between the parties and supersedes all communications, understandings, or agreements, if any expressed or implied, whether written or verbal. The Artist Workshop, BNWE and SSF make no representation of any kind except those specifically set forth herein. In the event of any dispute to the terms of this Contract, the parties agree to consult with a professional mediator agreed upon by all parties prior to seeking legal action. The prevailing party shall be entitled to recover costs and attorney fees. This contract shall be interpreted and construed pursuant to the laws of the State of Washington. Amendments to this agreement must be in writing and signed by both parties.
